These Terms & Conditions (“Terms”) govern your access to and use of our website, products, and services, including website development, branding, social media management, analytics setup, and all digital solutions provided by The US Digital Studio.
By accessing our website or using any of our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our website or services.

Service descriptions, scope, pricing, deliverables, and deadlines may vary based on the agreed proposal, invoice, or written contract with each client.
Service Engagement & Process
1. Client Responsibilities
- Provide accurate information needed to complete the project.
- Supply content such as text, images, login credentials, etc.
- Respond promptly to revisions, approvals, and questions.
- Ensure all provided materials do not violate copyright or law.
- Maintain communication during the project timeline.
Delays caused by late content or communication will extend the project deadline.
2. Our Responsibilities
- Deliver services professionally and in accordance with the agreed scope.
- Keep communication clear and time-bound.
- Provide updates throughout the project lifecycle.
- Ensure confidentiality of client information.
Payments & Billing
1. Payment Requirements
Payment terms depend on the service type. Unless otherwise specified:
- Full payment or a deposit is required before the project begins.
- Monthly services (e.g., social media management) require payment in advance.
2. Accepted Payment Methods
- PayPal
- Wire
- CashApp
- Debit/Credit Card
3. Late Payments
- If payment is not received on time, work may be paused.
- Deliverables may be delayed.
- Access to design files or websites may be temporarily restricted.
We reserve the right to terminate or suspend services.
4. No Chargebacks
By engaging our services, clients agree not to file chargebacks against completed or ongoing work.
Project Timeline & Delivery
1. Estimated Delivery Time
All timelines provided are estimates. Actual delivery may vary due to:
- Number of revisions
- Scope changes
- Client delays
- Technical issues beyond our control
2. Revisions
Unless specified in the project scope:
- Revisions are limited.
- Additional revisions are billed separately.
- Major changes after approval count as new tasks.
3. Approval & Final Files
Once the client approves any work (logo, design, pages, graphics):
- The work is considered final.
- Refunds or further changes may not be available.
- Final files will be delivered after full payment.
Intellectual Property Rights
1. Ownership Before Payment
Before full payment:
- All designs, drafts, websites, and creatives remain the property of The US Digital Studio.
- You may not share, publish, or use any design without our authorization.
2. Ownership After Payment
After full payment:
- Ownership of final approved deliverables transfers to the client.
- Source files (if included in package) will be provided.
- Drafts, unused concepts, and rejected designs remain our property.
3. Copyright Violations
Clients confirm that any content they provide (text, images, logos, videos) belongs to them or they have legal permission to use it. We are not responsible for copyright violations caused by client-provided content.
Third-Party Tools & Integrations
Our services may rely on third-party platforms or integrations such as:
- Google Analytics
- Hosting providers
- Domain registrars
- Social media APIs
- Live chat tools
- Plugins
We are not responsible for downtime, errors, updates, or failures caused by these third-party services. Any fees related to third-party tools are non-refundable.
Website Hosting, Domains & External Costs
Unless explicitly included in your package:
- Hosting fees, domain fees, plugin subscriptions, and external software licenses are the client’s responsibility.
- We are not liable for service outages related to hosting or domain providers.
Liability Disclaimer
The US Digital Studio does not guarantee:
- Specific SEO ranking or Google positioning
- Increases in sales, leads, or traffic
- Exact performance results from marketing campaigns
- Uninterrupted website availability
- Compatibility with future browser or platform updates
All services are provided “as is” based on the client’s approved scope. Our maximum liability is limited strictly to the amount paid by the client.
Prohibited Activities
Clients may NOT:
- Use our delivered work for illegal activities
- Upload harmful code, viruses, or malware
- Reverse engineer website code
- Resell our work without permission
- Harass or abuse our staff
- Misrepresent or misuse our services
Violation may result in immediate service termination with no refund.
Termination of Service
We reserve the right to terminate services if:
- The client violates these Terms
- Payment is overdue
- Client behaves abusively or unprofessionally
- Project scope is continuously altered without agreement
Termination does not grant a refund unless covered under the refund policy.

Refund Policy
1. Scope of Services
This Policy applies to services including but not limited to: website development, branding & logo design, business card design, email signature, social media management, custom icons and banners, custom posts, marketing collateral (flyers, posters) and analytics setup, which are digital services delivered by The US Digital Studio.
2. No Automatic Refunds
Unless expressly provided below, all payments made to the Company are non-refundable once work has commenced. The client acknowledges that service delivery often involves significant work prior to final deliverables, and after commencement no partial refund will be provided except as set out in this Policy.
3. Eligibility for Refund
You may be eligible for a refund in the following circumstances:
- If we fail to deliver the service as promised and this failure constitutes a major failure of the service contract (i.e., we are unable to provide the agreed deliverables or contract value is substantially reduced).
- If you provide a written refund request within 30 days of your service start date (for monthly subscription services) and you meet the conditions outlined in Section 4 below.
- For one-off projects (non-subscription) you may request a refund if no substantial work has been delivered or if we are unable to deliver the service according to the scope you approved.
Note: If your refund request is approved, the refund will be initiated within 14 business days. Please be aware that refunds are never issued for the full amount, as all payments are processed through a third-party merchant gateway that deducts its own transaction and processing fees. Therefore, the refund you receive will be the net amount after the merchant’s fees are deducted. The exact refundable amount will be communicated at the time of approval.
4. Monthly Subscription Services
For subscription-based services (for example, social media management):
- The client may request a full refund of the first month’s subscription amount only if the request is received in writing within 30 days of the initial subscription start date.
- After the first 30-day period, refunds will not be granted for subsequent months, nor for unused portion of a month, or downgrade of plan.
- Cancellation of a subscription will stop future billing, but will not trigger any refund for the current paid period unless a refund request was submitted within the first 30 days as per above.
5. One-Time Service Projects
For one-time service engagements (e.g., website build, logo and branding package):
- Refunds may be considered only if we have not started the project, or if we fail to deliver the agreed scope in a major way.
- If work has been approved or delivered (even partially) by the client, refunds will not be granted.
- Any services or assets that have been handed over to the client or made available are considered delivered.
6. Non-Refundable Items
The following are explicitly non-refundable:
- Fees for any third-party licenses, hosting, domains, plugins or software purchased or incurred on your behalf.
- Work already delivered or accepted by the client.
- Downgrades to a lesser service tier after project commencement.
- Time spent by us in meetings, revisions, planning or design once project has officially commenced and the client has approved the scope.
7. Procedure for Refund Request
To request a refund:
- Submit your request in writing by emailing info@theusdigitalstudio.com with subject line “Refund Request”.
- Include your client name, invoice number, service start date, and a description of the reason for refund.
- We will review your request and respond within 5 business days.
- If refund is approved, we will process it and return the funds via the original payment method within 5-10 business days.
8. Our Limitation of Liability
Our liability under a refund claim is strictly limited to refunding the amount you paid for the service in question, and does not include any other losses, indirect damages, or consequential costs.
9. Changes to This Policy
We reserve the right to modify or update this Refund Policy at any time. In the event of changes, the “Last Updated” date above will be revised, and the new Policy will apply to services purchased after that date.
Governing Law
These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law rules. Any dispute must be resolved in California courts or through mutually agreed arbitration.
Amendments to Terms
The US Digital Studio may modify, update, or revise these Terms at any time. Changes will be effective immediately when posted on our website. Continued use of services means acceptance of the updated Terms.
